Description

This course is designed to familiarize the student with basic concepts of corporate finance, including certain valuation methodologies, related accounting concepts and legal and administrative requirements. It will focus on the lawyer’s role in corporate practice dealing primarily with public companies, debt and equity financings and the terms and provisions of relevant instruments, such as preferred stock, subordinated debentures, warrants, stock options and various classes of common and preferred stock. It also will cover various aspects of mergers and acquisitions, takeovers and anti-takeover defense.

Students are expected to read all of the assigned reading material before class as background information. All of such material may not be covered in class but will form a basic understanding of the subject matter, some relevant case law and current interpretations of various statutory requirements. Students may be called upon randomly to brief cases in class and to discuss the notes following the cases. Questions about the course material and the corporate/securities practice of law in today’s environment are encouraged. If they are not answered in class due to time constraints, students are free to follow up with the Professor after class or by appointment. Your input and feedback are welcome.
