Students who took LAW-849-001 with Professor Shapiro may not enroll in this course.
This course will introduce students to the basics of a transactional law practice by focusing on a single transaction from start to finish. The course will emphasize the business and legal issues which lawyers face in private practice in representing both buyers and sellers of assets and lenders who finance the transaction. The students will be required to successfully negotiate the purchase and sale of certain assets and draft the financing documents related to such purchase. The course will be conducted by a combination of class discussion and lecture, student drafting, student negotiations, both in team and individual settings.
