Description

This is a course geared for International LLM students seeking to learn the legal environment in which business in the United States is conducted either by a single individual or cooperatively by a few or many individuals. A student will learn about various business forms and the federal and state codes and case law that regulate and adjudicate business disputes as they arise. This is a vital course for any student interested in participating in international business transactions or represent companies with interactions with US businesses. The course lays a foundation to a foreign lawyer to understand the US business culture and explain to future clients the distinctions between a foreign country’s business transactions and resolution options compared to the one that exists in the United States.

The book that will be used is The Law of Business Organizations (Cases, Materials and Problems), 12th Ed. by Hamilton, Macey and Moll, American Casebook Series, West Academic Publishing, ISBN 978-0-314-28563-8.

Grades will be based on a take home exam, completion of postings regarding the readings (described below) and class participation. This class will not satisfy upper-level writing requirements.
