Description

The course studies the nature, formation, and governance of business entities, including corporations, partnerships and limited liability companies. Specific topics include the role of business entities in society, formation of business entities, the relationships of management and equity holders with the business entity, fiduciary duties and conflict of interest issues, voting, shareholder lawsuits, and change of control transactions.
