Hotels & Resorts: Transactions and Contract Drafting (LAW-954-E001)
The classroom discussions and assignments are rooted in agreements typically in use in the hotel industry. Class discussions and assignments will look at scenarios, both current matters and hypotheticals, to draft provisions and agreements. Students will start with the blank page, then learn the foundation to draft agreements. Students have evaluation, analysis, and re-drafting assignments based upon: (i) professor review of submitted material; (ii) peer review and edits; and (iii) self-review of work based on templates and actual agreements.
The pattern for each class includes: (i) a look at an area of contract drafting (for example, the importance of representations & warranties); (ii) a review of material assigned for the week (drafting representations & warranties; (iii) peer and professor evaluation of the submitted material; and (iv) introduction to the assignment for the following session (for example, conditions precedent in an agreement). Between classes, students will work solo or in small groups, then submit the material prior to the next sessions. As a result, students typically will have at least 1 assignment per class session.
