Description

The course will explore the range of ethical issues and situations faced by business lawyers, and analyze the relevant ethical standards that govern such situations. In a business law setting, the classes will focus on client identification and potential conflicts of interest in corporate structures, counselling start up companies, the role and potential third party liability of attorneys in rendering legal and regulatory advice, special rules on practice before government agencies such as the SEC, CFTC and other business law agencies, potential conflicts between attorney client privilege and standards for reporting illegal acts to government agencies, issues in dealing with corporate whistleblowers, internal investigations of alleged violations of laws and regulations and client fraud, the business attorney as litigator and the attorney litigation privilege, the role of inside counsel, ethical concerns related to anti-money laundering in client relationships and customer due diligence, ethical standards in purchasing client stock and serving on a client's board of directors, multi-state jurisdictional issues in rendering legal advice and opinions, ethical issues in the practice of global law firms and international ethics standards and foreign lawyers practicing in the U.S
