The purpose of this course is to provide students with an overview of Corporate Compliance and Ethics. The course will begin with an introduction to compliance, and why it is important for organizations to establish compliance programs. The course will address ethics, developing a code of conduct, and the successful development of compliance training programs, including how to effectively train employees at all levels within the organization. We will also focus on the civil and criminal liability that organizations can face when compliance programs fail, are not properly implemented, or do not exist. The second half of the course will focus on additional compliance topics, including the Foreign Corrupt Practices Act (FCPA). The goal of this course is to consider corporate compliance, governance and ethics across industries. Course Goals: 1. Provide students with an overview of principles and the applicable legal background of corporate compliance; 2. Provide students with an understanding of how compliance programs are created and monitored by companies; and 3. Students should be able to identify gaps in compliance programs and identify ways to mitigate potential risk that can result from these gaps.
