Professor: Myra M. Wilder, Esq
Course Overview: The purpose of this course is to provide students with an overview of Corporate Compliance and Ethics. The course will begin with an introduction to compliance, and why it is important for organizations to establish compliance programs. The course will address ethics, developing a code of conduct, and the successful development of compliance training programs, including how to effectively train employees at all levels within the organization. The course will also introduce the students to risk management, including risk management as it relates to third parties. The second half of the course will focus on additional compliance topics, beginning with privacy and data security, with a focus on how organizations are changing privacy practices with the enactment of the GDPR in the EU. The course will end with a compliance case studies, the changing landscape of human resources compliance, the intersectionality of social responsibility and compliance, and what organizations do when compliance programs fail.

• Geoffrey Parsons Miller, The Law of Governance, Risk Management, and Compliance 2nd Edition (2017).
The casebook will be supplemented with other readings which will provide the students with additional perspectives on corporate compliance and ethics. Many of these readings will come from industry groups and publications that corporate and ethics compliance professionals participate in.
