Welcome to US Business Law – 581-001. This is a course geared for International LLM students seeking to learn the legal environment in which business in the United States is conducted either by a single individual or cooperatively by a few or many individuals. A student will learn about various business forms and the federal and state codes and case law that regulate and adjudicate business disputes as they arise. This is a vital course for any student interested in participating in international business transactions or represent companies with interactions with US businesses. The course lays a foundation to a foreign lawyer to understand the US business culture and explain to future clients the distinctions between a foreign country’s business transactions and resolution options compared to the one that exists in the United States. Our readings for this course are mainly from the excellent textbook listed below. And we will look at various state statutes. When additional sources are used, I will email you these readings prior to the class. Grades will be based on a take home exam, completion of postings regarding the readings (described below) and class participation.
Learning Outcomes
Students learn various business forms, management and operation, financial rights and obligations, fiduciary duties, ownership and transferability, and dissolution.Student learn the development of corporate law including studying agency, doctrines of ultra vires, piercing the corporate veil, various forms of capital – debt and equity, management and control of closely held corporations versus public corporations, the duty of loyalty, the business judgment rule, derivative lawsuits, just to name a few concepts.
Students will learns why limited liability companies and other recent revisionary forms are so popular in the United States.Textbooks and Other Materials
