Description

Covers the substance and practical applications of such areas of law as business associations, taxation, and securities regulation. Students will consider issues faced by business lawyers, including ethical and other professional responsibility concerns, in advising clients in the formation, financing, operation, and ultimate disposition of business entities. Particular attention will be given to the tax aspects of choice of entity, financing, and operational issues.
