Business Associations (LAW-611-002)
The Syllabus listed below is the Spring 2022 Syllabus. There will be some changes made to the upcoming Fall 2022 Syllabus, but this sample syllabus is very close.
This BA course examines state laws governing business entities (ranging from unincorporated entities such as the Limited Liability Company (LLC) to the Incorporated business, along with an analysis of basic business considerations of business entities. The course focuses principally on the public corporation (shares traded publicly subject to Federal securities laws) incorporated in Delaware (the principal state for business law in the United States). WCL's BA courses serve as a gateway to the rest of the business law curriculum, and contain knowledge fundamental to all lawyers (and the bar exam).
