Description
This course will teach fundamental concepts and practical skills through traditional course lectures and discourse and by having students role-play lawyers in different drafting scenarios, some of which will seek to mimic the types of assignments junior associates may be given.
The course will teach you the principles of modern commercial drafting and introduce you to different types of transaction documents. The skills you gain should apply to any transactional practice, whether in government, public interest or non-profit settings, and will also be useful to aspiring litigators. Upon successful completion of this course, students should be able to:
- Understand the business purpose of each of the contract concepts;
- Interview a client about a business deal and translate it into contact provisions;
- Draft each part of a contract;
- Draft with clarity and precision and without ambiguity in plain English;
- Learn how good drafting techniques add value to a deal;
- Work through the drafting process;
- Review, negotiate and comment on a contract prepared by opposing counsel.
