Description

LAW-852-001 Do you want to start a nonprofit organization? Serve on a board or serve as general counsel in a nonprofit? Law of Nonprofit Organizations introduces students to the regulation of nonprofit organizations through both state law and federal tax law. The course follows the life-cycle of a charitable nonprofit by covering topics such as creation of the entity, structuring the board of directors, and charitable fundraising, as well as more advanced topics like engaging in business activities to generate additional revenue, and navigating the line between permissible and impermissible advocacy, particularly in an election year. Students will study the major aspects of nonprofit law and regulation in the doctrinal portion of the class on Mondays. On Wednesdays, students will build on this foundation through practical assignments and exercises designed to reinforce their understanding of the law and teach the skills and practices useful for the representation and leadership of charitable nonprofit organizations. Exercises include: drafting bylaws, drafting applications for tax exemption (501c3 status), developing key governance policies, evaluating business forms for commercial activities, evaluating political activities, and more.
