Description

The state laws governing business entities with an analysis of legal and business considerations, including basic tax questions, leading to business associations in corporate and unincorporated form. Topics include the creation of general and limited partnerships, LLPs and LLCs, as well as agency principles relating to the relationship of the owners inter se and to third parties; the creation, form, and nature of the closely held corporation; rights and duties of shareholders, directors, and officers; rules relating to dividends and dissolution; and an introduction to applicable provisions of the federal securities laws.
