Description
Law 849C-001 Legal Drafting-Corporate, Dionne Savage: The course will explore the process of effectively drafting contracts in the practice of corporate law. This course is designed to cover structuring and drafting of corporate formation and governance documents and transaction contracts for business and real estate development clients. We will focus on composing legal documents that efficiently accomplish clients' objectives, provide clarity for the parties and manage risks. Instruction will include hands-on drafting and in-class exercises. We will work with a fictitious client and work through an entire transaction from term sheet to closing. The course is designed to develop your skills in writing, editing and analysis such that, upon finishing the course, you will understand: • the business purpose of each of the contract concepts; • how to translate a business deal into contract concepts; • how to draft each of a contract’s parts; • how to draft with clarity and without ambiguity; • how to work through the drafting process and • how to review and comment on a contract.

Students should bring their personal lease agreement or home purchase agreement to the first class to discuss the components of a contract and group discussion.
