Description

This course will develop your skills in writing,ýediting and analysis through exercises in draftingýcorporate documents. We will explore issues ofýcorporate formation and governance through theýrepresentation of one or more simulated socialýenterprises: mission-driven businesses thatýembrace new forms of for-profit organization inýaddition to traditional non-profit corporateýforms. We will draft for a social enterpriseýclient throughout its life cycle: from translatingýone great idea into creation as a formal entity;ýto establishing ground rules for management,ýcontrol, membership and capitalization; and toýhelping the entity expand through relationshipsýwith other partners. We will address differentýoptions for operating a mission-driven business,ýincluding non - profit, for profit, cooperativeýand benefit corporations; and limited liabilityýcompanies. "Clients" may include businesses withýambitions to supply better access to healthy food,ýworkforce development and comprehensiveýtransportation; or lawyers seeking to create aýneighborhood-based law practice.
