Description

This course will introduce the student to the basics of a transactional law practice by focusing on a series of related commercial transactions. Starting from the first class, the students will learn to draft and negotiate contracts to a successful outcome. The course will be conducted by a combination of class discussion and lecture, student drafting, and student negotiations, both in team and individual settings. Class participation is an important element of the course.Classroom discussion will allow students to use and further develop the knowledge they have acquired in law school and apply this knowledge to actual situations they are likely to encounter in private practice. This course focuses on how to properly draft and edit an agreement. Students will engage in the types of problem solving which actual lawyers use in their daily practices. There is a heavy emphasis on actual drafting and most assignments focus on drafting contract provisions.The class is designed to provide each student with the practical tools to hit the ground running when they are in private practice. By the end of the semester each student should be able to draft a variety of agreements with confidence. From time to time, actual real world problems will be used in class to illustrate drafting issues.
