Description

Legal Drafting: Contracts – the corporate transactional practice of law requires an understanding of core drafting principles and the ability to reduce critical deal terms to a well-written agreement. This course will provide students with a practical framework of contacts, contractual provisions and will instruct on how to negotiate, attack and successfully advocate revisions to certain provisions during negotiations. This hands-on approach will provide a deep dive into transactional law and expose students to real-life transactions, including the instructor’s experiences in the areas of corporate, structured finance, real estate and tax credits. The class format will present students with drafting exercises and discussion opportunities. Each class will help students strengthen their analytical and drafting skills.
