Description
Nonprofit Organizations: Transactional Drafting builds on your:
- transactional drafting skills through nonprofit counseling exercises; and
- deepens your substantive nonprofit law knowledge.
The course follows a life-cycle approach to address the myriad of legal issues that lawyers encounter in advising nonprofit organizations. We begin with the formation of a nonprofit tax-exempt organization and close with the merger, dissolution, or conversion of a nonprofit tax-exempt organization. Using intentionally designed and current drafting exercises in class each week, the course is designed to teach students the skills and practices useful for the representation and leadership of nonprofit organizations. Exercises include: drafting bylaws, drafting applications for tax exemption, developing key governance policies, evaluating business forms for commercial activities, evaluating political activities, and more. The exercises are based on the professor’s professional experience, actual cases and rulings, and allow you to serve in a variety of roles in and for tax-exempt organizations during the semester.
There are no prerequisites for this course. I recommend that students have taken at least one class in tax law, business law, or nonprofit law, or have the equivalent relevant experience (e.g., clinic). This unique course pairs well with concurrent enrollment in Law of Nonprofit Organizations (Law 852) but that is not required.
