Description

This course will cover the essential elements of representing private equity funds, entrepreneurs, and senior management in venture capital, growth equity, and leveraged buyout transactions. Emphasis will be placed on structuring and documenting equity arrangements that are characteristic of venture capital and other private equity transactions, understanding issues that commonly arise in negotiating acquisition agreements, and tax planning to minimize taxes and maximize the value of an enterprise on exit. Basic financial and accounting principles will be discussed. Prerequisites: Business Associations (Law 611) and Federal Personal Income Tax (Law 647)
