Description

This course examines the role of the corporation in society and the rise of “ESG”—environmental, social, and corporate governance—as a framework for corporate legitimacy. The course will explore how business laws (including entity, commercial, and securities laws) interact with ESG narratives and compliance regimes. This course considers the ethical obligations of lawyers representing business entities, how emerging technologies are affecting ESG and compliance, diversity initiatives for corporate governance, and the challenge of managing environmental impacts of business activity. Students will engage with guest lecturers with ESG expertise working in varied academic areas and professional capacities. Students will develop papers on a topic of their choosing, consistent with the general subject matter of the course.
