Description

This course will focus on how mergers and acquisitions transactions are structured, negotiated and written, as well as a selection of recent and transformative case law involving business acquisitions. Classes will explore key clauses and terms negotiated in the deal process, and the implication of decisions made by the deal lawyers when a transaction is reviewed and dissected in a courtroom setting. The goal will be to take away a global understanding of a successful mergers and acquisitions transaction from the view of the buyer and the seller, but also to understand the position of the unbiased justice tasked with trying to reconstruct a broken agreement. Portions of the course will focus on international and public company mergers and acquisitions.
