Description

This seminar will introduces students to the legal, business, and analytical skills necessary to counsel business clients in various stages of development of their businesses.. It has a unique structure, which all students must be aware of and accept as a prerequisite for signing up. The heart of the seminar is class discussion and analysis of the substantial required readings and group projects on two (2) case study problem sets. The class requires substantial initiative and diligence on each student’s part to succeed, and is suitable only for those students who are prepared to make the necessary commitments to this seminar. Prof. Eule will teach the reading materials through a combination of lecture and class discussion, but has found that, for this type of course, the real learning occurs when students actively participate, thereby shaping the direction and substance of the actual classes. For each group project, the class will be divided into groups of 3-4 students. Each group will complete both a written assignment and make a detailed, 20-30 minute class presentation of their work, acting as legal counsel to the class/client. The assignments and class presentations require substantial independent research, preparation time and overall commitment. In recognition of this, there will be no final examination. Instead, twenty five (20%) of the final grade will be base on class participation (including, attendance, preparedness, and constructive engagement with both the professor and other students) and seventy five percent (80%) of the grade will reflect the written and oral assignment on the problem sets. As indicated below in the syllabus each group’s written assignment is due on the scheduled day of the group’s class presentation.

Note: Each individual student’s grade will be based on his/her: 1) Class participation in the seminar (20% as indicated above), and 2) His/her group’s written assignments and presentations (80% as indicated above). Each student will receive the grade of his/her group based on the group’s oral presentations and final written assignments.
