Description

This course will provide an overview of corporate compliance, governance, and ethics across industries. We will discuss the importance of effective corporate compliance and identify the key individuals responsible for compliance within an organization. Students will examine internal enforcement, as well as the critical role of regulators and prosecutors. This course will also study the civil and criminal liability that organizations face when compliance programs fail or are not effectively implemented or administered. This course is experiential in nature and students will have the opportunity to engage in simulations to apply concepts and principles.

We will rely primarily on The Law of Governance, Risk Management and Compliance, Third Edition Geoffrey P. Miller (2020) ISBN: 9781543812763 (the “Text”). The Text will be supplemented with other readings that will provide additional perspectives on corporate compliance and ethics. All supplemental readings will be listed in this syllabus and/or posted on the course Canvas page. Course readings are subject to change as necessitated by class discussion, current events, and our progress through the core material.
