Description

International Business Transactions (the upper level IBT course, not the 1L elective) addresses the four basic forms of cross border business transactions - transactions in goods, services, transfer and licensing of business methods and technology, and foreign direct investment. The course focuses on the business motivations, concerns, and negotiating issues in examples of these basic transactional forms, as memorialized in the deal contracts. The course is about one third understanding the business concerns underlying the transactions; one third understanding the language of the contracts memorializing the transactions; and one third dealing with legal issues of cross border dispute resolution. The course deals with cross border private business deals - it does not take up international trade law or public financial, securities, or currency market transactions. The course is an introductory survey course and has no prerequisites, although Business Associations or its non-US law school equivalent is helpful background.
