Description

This course examines various advanced corporate law issues. Topics include developments in mergers and takeovers (including hostile tender offers, proxy contests, and takeover defenses), hedge fund activism in corporate governance and corporate control, transactions involving controlling shareholders, spin-offs and other corporate restructurings, rights of bondholders and other creditors, shareholder voting, corporate governance in financially distressed companies, and developments in insider trading law. Prerequisites: Business Associations (Law 611) or equivalent course.
