Description

This course explores fundamental rules and principles relating to common business associations, including business agency relationships, commercial partnerships, limited liability companies, and for-profit corporations. Issues to be explored include limited personal liability, formation and dissolution, federal income taxation, fiduciary duties, and derivative shareholder litigation.
