Description

Business Associations is the most basic and, for most students, first course in business law. It covers fundamental legal issues in the creation of different types of business entities under relevant state and federal law, as well as their governance - with particular emphasis on the public corporation. Professor Anderson's BA section focuses on public corporations organized under the most important state law for incorporation - Delaware, with attention to the increasing role of federal law and regulations. The emphasis is on Delaware legal standards regarding the fiduciary duties of directors in the publicly traded corporation. The BA course also introduces important concepts and terminology in business and finance. The exam in Professor Anderson's BA section is a take-home examination - the drafting of a professional internal advice memorandum (possibly several) by a junior attorney to a supervising attorney, supplemented by reflection papers during the course of the semester.
