Description
This course will examine health care mergers and acquisitions, and will dissect a transaction from start to finish, focusing particularly on nonprofit hospital mergers and acquisitions. Course emphasis will be placed on the unique challenges faced in conducting mergers and acquisitions in the health care industry. Students will apply principles to sample transaction documents. Recent health care industry transactions will be used as a teaching tool to further explore these issues. Reading and class lectures will be supplemented with contract review, mock client hypotheticals and issue-spotting exercises. Students will also participate in a two-part mock negotiation exercise.
