Description

Unlike Business Associations (BA), which strives for coverage, Advanced Corporate Law (ACL) is a current events course in business. ACL covers thirteen discreet but interrelated topics, geared toward issues that business lawyers are likely to practice or read about in the media. While BA did not address some of these topics, BA raised others that ACL will cover in depth. Among other topics, ACL will address: recent developments in fiduciary duties; mergers (reverse, triangular, and de facto mergers); appraisal rights; leveraged buyouts and creditors’ rights; voting in a public corporation; exculpation, indemnification, and insurance for directors; developments in close corporate law; new corporate statutes (Benefit corporations, North Dakota statute); how Enron changed corporate law; and special issues related to being a corporate lawyer. In addition, since BA focuses on the Delaware corporate statute, ACL will address the relevant provisions of the Model Business Corporations Act. As a result, students taking both BA and ACL will have covered the two templates of corporate statutes.
